Terms and Conditions

1. Scope
These Terms and Conditions (“Terms”) apply to all offers, services, and contracts provided by NC Norden Cargo GmbH and related companies, including but not limited to transport, logistics, and forwarding services, unless otherwise agreed in writing.

2. Applicability of the German Freight Forwarders’ Standard Terms (ADSp)
All our services are performed on the basis of the latest version of the Allgemeine Deutsche Spediteurbedingungen (ADSp – German Freight Forwarders’ Standard Terms and Conditions). A copy of the ADSp 2017 can be downloaded here in English and German.

3. Deviating Terms
Any terms and conditions of the customer or third parties shall not apply, even if we do not expressly object to them. Deviations from these Terms or from the ADSp are valid only if confirmed by us in writing.

4. Payment Terms / Default Interest
Unless otherwise agreed, invoices are payable within 14 days of the invoice date without deduction. In case of default, statutory default interest pursuant to §§ 288, 247 BGB shall apply. We reserve the right to claim additional damages for delay.

5. Objections to Final Costs
After issuance of the arrival notice containing the final costs, the customer must notify us in writing of any objections within seven (7) calendar days from receipt of the arrival notice or final invoice. If no written objection is received within this period, the invoiced amount shall be deemed accepted and binding.
This does not affect the customer's statutory rights in cases of manifest errors or fraud.

6. Electronic Communication
All legally relevant declarations and communications may be made electronically (including by email) unless formal written form is required by law. Electronic communications shall be deemed received once transmitted without error.

7. Offers and Contracts
All offers are non-binding unless expressly confirmed as binding.
A contract is deemed concluded only upon our written or electronic order confirmation.

8. Liability and Insurance
Liability is governed exclusively by the ADSp 2017 and the applicable statutory provisions of German law.
Additional cargo or transport insurance is only arranged upon the customer’s express written instruction and at the customer’s expense.

9. Data Protection
We process personal data in accordance with the EU General Data Protection Regulation (GDPR) and the German Federal Data Protection Act (BDSG).

10. Use of Customer Name and Logo
Unless otherwise expressly objected to in writing, the customer grants NC Norden Cargo GmbH a non-exclusive, royalty-free right to use the customer’s name and logo for reference and marketing purposes. This includes, in particular, displaying the logo or trade name on our website, in presentations, proposals, and other marketing or communication materials to identify the customer as a business partner.

11. Place of Jurisdiction and Applicable Law
The place of performance and exclusive jurisdiction for all disputes arising out of or in connection with our services shall be Hamburg, Germany, unless mandatory legal provisions stipulate otherwise.

All contractual and non-contractual obligations are governed by German law, excluding the UN Convention on the International Sale of Goods (CISG).
In case of discrepancies between the English, Spanish and German versions of these Terms, the English version shall prevail.

12. Severability
If any provision of these Terms is or becomes invalid or unenforceable, the remaining provisions shall remain unaffected.
In such a case, the invalid provision shall be replaced by a valid one that most closely reflects the original intent.
